1. About these Terms
These Enterprise SDK License Terms (“Terms”) govern your access to and use of the Enterprise Services, Device Licenses and firmware described below. They supplement the Even Hub Developer Platform Terms of Service (“Developer Terms”) and constitute the separate agreement contemplated by Section 5.1 of the Developer Terms for integrating your own application with supported Even Realities devices.
“Even Realities,” “we,” “us” and “our” refer to the contracting entity identified in the Developer Terms. Capitalized terms not defined here have the meanings given in the Developer Terms.
If these Terms conflict with the Developer Terms concerning the Enterprise SDK, Enterprise Services, Device Licenses or related firmware use, these Terms prevail. An order or other agreement accepted in writing by both parties prevails over these Terms only to the extent that it expressly identifies and varies the relevant provision.
Your rights in software and other materials released under an open-source license are governed by that license, as explained in Section 6.
2. Accepting these Terms
You accept these Terms by selecting the agreement box on the Enterprise Page or otherwise expressly agreeing to them.
You may accept as an individual developer or on behalf of a company or other organization. If you accept on behalf of an organization, you represent that you have authority to bind it, and “you” and “your” refer to that organization. Otherwise, you accept in your individual capacity.
You must have legal capacity to enter into these Terms and maintain a valid developer account. You are responsible for the accuracy of your account information, the security of your account and activities that you authorize through it.
Acceptance of these Terms does not, by itself, require you to purchase Device Licenses. Downloading or using materials released under an open-source license does not, by itself, constitute acceptance of these Terms.
3. Definitions
“Enterprise SDK” means the software packages, example templates, documentation and Bluetooth protocol specification that Even Realities makes available for developing applications that connect directly to supported Even Realities devices.
“Enterprise Services” means the account-based registration, device-binding, license-issuance, firmware-distribution and related support services that Even Realities makes available for the Enterprise SDK.
“Enterprise Page” means the Enterprise section of the Even Hub Developer Platform where you could add Devices and download Licenses.
“Application” means an application that you develop, operate or are authorized to deploy using the Enterprise SDK.
“App ID” means the Android application ID or iOS bundle ID identifying an Application.
“Device” means a supported Even Realities device identified by the serial number accepted for registration on the Enterprise Page.
“Device License” means an Enterprise SDK device authorization granted by Even Realities under these Terms for one Device serial number paired with one App ID, permitting the identified Application to connect to and operate that Device. A separate Device License is required for each additional App ID used with the same Device.
“License Quota” means the number of Device Licenses available for issuance under your account.
“Application Data” means content and data collected, generated or otherwise processed by or through your Application, including data received from a Device.
“Service Data” means information processed by Even Realities to provide or administer the Enterprise Services, including account, device-registration, license, transaction, firmware-update and support information.
4. Device Licenses and Authorized Deployment
4.1 License Grant
Subject to these Terms and payment of applicable fees, Even Realities grants you a non-exclusive right, for each validly issued Device License, to:
- (a) connect the specified Device to the Application identified by the corresponding App ID and operate that Device through the Application; and
- (b) include the signed Device License in the Application or deliver it through your own systems to enable that connection.
You may deploy the Application and corresponding Device Licenses to your personnel, contractors, customers and end users, provided that each deployment remains within the applicable Device and App ID pairing. This permission does not allow a recipient to use a Device License for another Device or Application.
You may engage service providers to assist with authorized deployment on your behalf. You remain responsible for their compliance with the obligations applicable to their activities under these Terms.
4.2 Scope and Duration
Each Device License authorizes one Device serial number paired with one App ID. A separate Device License is required for each additional App ID used with the same Device.
Once issued, a Device License has no fixed expiry date and does not require renewal, but may be terminated in accordance with Section 11.
Unless expressly agreed otherwise, the Device License does not include ongoing hosting, maintenance or support, or any commitment to provide future firmware updates, new features or compatibility with future products. This does not limit obligations imposed by applicable law.
4.3 License Security and Limitations
You must take reasonable measures to prevent unauthorized distribution or misuse of Device Licenses. You must not forge or alter a signed Device License or use one outside its authorized Device and App ID pairing.
A Device License is a connection authorization. It does not establish ownership of a Device, verify the identity of its wearer or replace Application authentication and access controls.
Device Licenses are checked offline. Account suspension, account reassignment or a change in registration does not necessarily disable copies of Device Licenses already issued.
5. Free Licenses, Purchases and Registration
5.1 Free Licenses
Each registered developer account initially receives a License Quota of three Device Licenses at no charge for development and testing. Production use of those free Device Licenses requires our written agreement.
Additional promotional or trial allocations are governed by the terms disclosed when offered.
5.2 Purchases
Additional License Quota may be purchased through Even Realities sales. The price, currency, taxes, payment terms and quantity are specified in the applicable order.
Purchased License Quota is allocated to the designated developer account after payment is received, unless otherwise agreed in writing.
5.3 Consumption of Quota
One unit of License Quota is consumed when a new Device serial number and App ID pairing is successfully registered, whether or not you subsequently download or deploy the Device License.
Registering an additional App ID for an existing Device consumes another unit. Registering the same pairing again under the same account does not consume an additional unit.
Registered pairings cannot be deleted to restore License Quota. You are responsible for checking the serial number, App ID and quota consumption before confirming registration.
5.4 Transfers, Replacement and Rebinding
Except as agreed by Even Realities in writing, issued Device Licenses and License Quota cannot be transferred between accounts or reassigned to another Device or App ID.
Loss, damage, repair or replacement of a Device does not automatically restore License Quota or entitle you to a replacement Device License. A replacement Device with a different serial number ordinarily requires a new pairing and an additional Device License.
These provisions do not limit remedies available under a separate hardware warranty, an applicable order or mandatory law.
A Device serial number may be associated with only one developer account at a time. Any permitted rebinding is subject to verification and the applicable registration process. Rebinding does not invalidate previously issued Device Licenses or transfer the previous account’s License Quota.
You may register or request rebinding of a Device only if you own it or have sufficient authorization from its owner.
5.5 Refunds
Except as otherwise provided in these Terms or the applicable Order, we do not offer refunds solely because you change your mind, cancel your project, do not use purchased License Quota, or do not deploy your Application after a Device License has been issued.
This policy does not limit any applicable statutory withdrawal or cancellation right, or any right to a refund, repair, replacement, price reduction or other remedy for non-delivery, defective or non-conforming licenses or services, or our breach of contract.
Registration of a Device, consumption of License Quota or issuance or download of a Device License does not, by itself, waive any mandatory right. Where applicable law permits such a right to end upon commencement or completion of supply, the required conditions must first be satisfied.
6. Open Source and Proprietary Materials
The Enterprise SDK source code, example templates and protocol specification expressly identified as Apache-2.0 materials are licensed under the Apache License, Version 2.0. Third-party components may be governed by their own licenses, as identified in the relevant notices.
Those licenses govern your rights to use, copy, modify and distribute the corresponding materials, including applicable copyright and patent grants. Nothing in these Terms or the Developer Terms restricts those rights or requires you to disclose your Application’s source code merely because it incorporates Apache-2.0 materials.
Open-source licensing does not itself provide access to the Enterprise Services or a Device License.
Signed Device License files, signing keys, proprietary firmware and Even Realities trademarks are not included in the open-source release unless expressly identified otherwise. A public download location does not, by itself, make a material open source.
You retain rights in your Application and other materials you create, subject to applicable third-party rights. Merely using the Enterprise SDK does not grant Even Realities ownership of your Application.
7. Firmware, Compatibility and Support
7.1 Firmware Permission
Even Realities permits you to download, reproduce and distribute official firmware made available for enterprise deployment solely to install it on supported Devices that you own or are authorized to manage.
You may use your own backend, device-management systems or internal mirrors for that purpose. You must preserve applicable notices and the integrity of the firmware image and must not represent modified firmware as official Even Realities firmware.
Other uses remain subject to the Developer Terms, applicable component licenses and mandatory law.
7.2 Compatibility and Updates
Supported Devices, operating systems, SDK versions and minimum firmware requirements are specified in the relevant technical documentation. The initial Enterprise SDK release requires G2 firmware version 2.4.1 or later, subject to the published compatibility information.
You are responsible for testing your Application, selecting compatible versions and scheduling updates for Devices you manage.
Protocol formats and compatibility may change between versions. Unless expressly agreed otherwise, Even Realities does not guarantee compatibility across all SDK and firmware versions or continued support for every historical version.
Firmware releases may be made available through the Enterprise Page or other official download locations. Unless required by law or separately agreed, we do not undertake to notify you individually of every release. You should monitor release notes and security advisories.
7.3 Support
Any service levels, maintenance periods, dedicated support or compatibility commitments must be expressly agreed in writing.
You are responsible for supporting your Application and its users. Nothing in this Section limits mandatory obligations relating to security updates, conformity or consumer remedies.
8. Your Application and Responsibilities
You are responsible for developing, testing, distributing and operating your Application, including:
- (a) determining its purposes and ensuring compliance with applicable laws;
- (b) implementing appropriate authentication, access controls and security measures;
- (c) managing permissions, microphone access, data collection and transmission;
- (d) selecting and managing your backend, cloud, analytics, AI and other third-party services; and
- (e) providing appropriate user instructions, support and disclosures about your Application’s functions and limitations.
These Terms do not impose additional sector-specific restrictions on the lawful purposes for which you may use your Application. You remain responsible for any approvals, authorizations, safeguards or other requirements applicable to your particular use.
You must not use the Enterprise Services or proprietary materials to infringe rights, conduct unlawful surveillance, introduce malicious code or compromise devices, systems or services.
Registration, issuance of a Device License or technical assistance does not constitute Even Realities’ approval, certification or endorsement of your Application or its intended use.
9. Data Protection and Privacy
9.1 Application Data
You are responsible for the collection, use and disclosure of Application Data and for complying with Applicable Data Protection Laws, including lawful processing, transparency, required consents, security, individual rights and international transfers.
Where you determine the purposes and means of processing, you act as controller. Where you act on behalf of another controller, you are responsible for obtaining the necessary instructions and authorizations.
In the ordinary runtime connection, Application Data passes between Devices, your Application and systems you designate, without passing through Even Realities servers. Providing the Enterprise SDK does not, by itself, make Even Realities a processor or joint controller of that data.
9.2 Even Realities Processing
Even Realities acts as an independent controller where it determines the purposes and means of processing Service Data for account management, device registration, license issuance, firmware distribution, security, support administration and legal compliance.
Such processing is described in the Even Hub Developer Privacy Policy and any applicable collection-specific notice, including the data collected, purposes, legal bases, recipients, transfers, retention and individual rights. Each party is responsible for its own processing obligations.
9.3 Support and Processing on Your Behalf
You must limit Support Materials to information necessary for the requested assistance and remove unnecessary personal data, confidential content and credentials.
Where Even Realities processes personal data solely on your documented instructions to provide an agreed support service, it acts as your processor, or subprocessor where you act for another controller. Any processing terms and transfer safeguards required by applicable law must be established before that processing begins.
Even Realities may use Support Materials only to provide the requested assistance, investigate and resolve the reported issue, and fulfill applicable security or legal obligations. Submission does not grant a general right to commercialize those materials or use them to train general-purpose AI models.
9.4 Security
Each party must implement and maintain technical and organizational measures appropriate to the risks of the data processing and systems under its control, including appropriate access controls, confidentiality protections and safeguards against unauthorized access, loss, alteration or disclosure.
You are responsible for the security of your Application, your deployment and the systems and third-party services you select, including protecting credentials and Device License, managing device permissions and applying relevant security updates. Even Realities is responsible for the security measures applicable to the Enterprise Services and its own processing.
Each party must notify the other without undue delay upon becoming aware of a security incident materially affecting the other party’s data or the Enterprise Services and provide reasonable cooperation to investigate, mitigate and meet applicable notification obligations. More specific obligations under applicable law or agreed processing terms prevail.
9.5 Respective Responsibilities
Each party must apply appropriate retention measures to personal data it processes. Neither acceptance of these Terms nor a Device License replaces notices, consents or other legal requirements applicable to End Users or other individuals.
The parties’ roles are determined by their actual processing activities and Applicable Data Protection Laws. Nothing in these Terms excludes obligations arising from those activities.
10. Relationship with the Developer Terms
An Application that uses the Enterprise SDK to connect directly to Devices is not required to be submitted for Publication Review or published on Even Hub solely because it uses the Enterprise SDK.
The provisions of the Developer Terms specifically governing the development, Publication Review, publication and removal of Plug-ins on Even Hub Developer Platform, including the restrictions on types of Plug-ins eligible for publication, do not apply to such an Application unless it is separately submitted or published as a Plug-in.
For standalone Enterprise SDK use, Section 9 of these Terms governs data protection in place of Section 4 of the Developer Terms. The reference to a Data Processing Agreement in Section 4.8 does not, by itself, establish a controller–processor relationship between the parties.
Sections 6.2(k) and 6.2(l) of the Developer Terms do not restrict your lawful processing of Application Data obtained through standalone Enterprise SDK use or your management of credentials for your own Application. They remain applicable to any separate use of APIs or other data interfaces provided through Even Hub Developer Platform within their stated scope.
The intellectual-property and API restrictions in the Developer Terms do not limit rights granted under applicable open-source licenses or the integration, deployment and firmware-distribution permissions expressly granted by these Terms.
The Developer Terms’ general obligations concerning account security, confidentiality, compliance with applicable law and export controls continue to apply to the Enterprise Services and proprietary materials, to the extent relevant.
11. Suspension and Termination
Even Realities may suspend access to the Enterprise Services or stop issuing new Device Licenses on the applicable grounds and using the procedures set out in Section 9 of the Developer Terms.
Where reasonably practicable, we will identify the reason and any corrective action required. Immediate action may be taken where necessary to address material security risks, unlawful activity or legal requirements.
Termination ends your right to obtain new Device Licenses and access the Enterprise Services, subject to any applicable order or mandatory law.
Notwithstanding Section 9 of the Developer Terms, termination does not automatically cancel validly issued perpetual Device Licenses. The permissions reasonably necessary to continue authorized use of those Device Licenses and firmware already lawfully deployed survive termination.
However, Even Realities may terminate an affected Device License for a material breach relating to that license, subject to applicable notice and cure requirements, or where continued use is prohibited by law. Technical acceptance of a license file does not authorize use after the corresponding legal permission has been terminated.
If Even Realities terminates the Enterprise Services for convenience and permanently prevents you from using purchased, unused License Quota, we will refund the fees attributable to that unused quota unless an agreed alternative is provided.
Termination does not affect accrued obligations, applicable confidentiality and data-protection obligations, or rights under open-source licenses, which continue according to their own terms.
12. Warranties, Liability and Mandatory Rights
Sections 10 and 11 of the Developer Terms apply to the Enterprise Services, Device Licenses and proprietary firmware, subject to these Terms. References to Plug-ins apply to your Application only to the extent relevant to the corresponding obligation or claim.
To the extent permitted by law, the Enterprise Services and proprietary firmware are provided “as is” and “as available,” without additional warranties except those expressly stated in an applicable order. Open-source materials remain subject to the warranties and liability provisions of their respective licenses.
Nothing in these Terms excludes or limits liability or remedies that cannot lawfully be excluded or limited, or releases either party from its own mandatory data-protection obligations.
An individual developer is not treated as a business customer solely because they register a developer account or use the Enterprise SDK. Where you qualify as a consumer under applicable law, your mandatory consumer rights remain unaffected, including applicable rights concerning withdrawal, conformity, refunds, digital content and updates.
Where immediate performance requires a separate consumer request, consent or acknowledgment, acceptance of these Terms alone does not constitute it.
13. Changes to These Terms
We may update these Terms from time to time. For material changes adversely affecting your rights or obligations, Even Realities will provide at least thirty days’ advance notice, except where a shorter period is required by law or necessary to address an urgent security issue.
We may require express acceptance of an updated version before new registrations or issuance of new Device Licenses. Declining an update does not, by itself, cancel Device Licenses already issued.
Updates will not retroactively impose additional fees, shorten the duration of issued perpetual Device Licenses or restrict rights granted under open-source licenses. Material changes to existing paid entitlements require your agreement unless otherwise permitted by mandatory law.
Non-material corrections may take effect when published.
14. General
Section 7 of the Developer Terms governs confidential information exchanged in connection with these Terms, subject to the more specific data-use restrictions above.
Section 12 of the Developer Terms applies, including its provisions on governing law, dispute resolution, severability to the extent provided there, waiver and language, subject to the precedence rules in Section 1 and the mandatory rights preserved in Section 12 of these Terms.
These Terms do not require you to grant publicity rights in your name, trademarks, customer relationship or deployment. Any such use requires separate permission.
For questions about these Terms, contact Even Realities through the Even Support Center or your designated sales contact.
